These Terms & Conditions apply to creative, design, website, branding, marketing and related services provided by Zoeke Design Studio (“Zoeke”, “we”, “us” or “the Designer”) to a client (“you” or “the Client”).
By accepting a quotation, proposal or invoice, or by starting a project with Zoeke, you agree to be bound by these Terms & Conditions together with the specific scope of work, quotation or proposal for your project.
1. Scope of Work
Zoeke provides the creative and design services described in your quotation or proposal (the “Quote”).
The Quote defines what is included in your project. Any work, services, deliverables or changes outside the Quote need a written change order and may cost extra. We will tell you about any additional costs before we start that work.
2. Quotes & Booking
Your Quote is valid for 15 days from the date it was sent.
Your project is booked once you have accepted the Quote in writing (by email, WhatsApp or signature) and paid the deposit, and the deposit reflects in Zoeke’s account.
All prices are in South African Rand (ZAR).
3. Project Requirements & Client Content
Before work can begin, you are responsible for providing all Required Documentation and information needed to complete the project. This may include copy, text, images, brand assets, references, specifications, login details or other materials linked to your Quote.
All content must be supplied electronically and in editable text format, by WhatsApp or email, unless Zoeke is creating that content as part of your package.
Screenshots or images containing text will not be accepted for retyping. If you only have content in that format and need Zoeke to retype it, a typing fee of R450 per hour applies.
You are responsible for making sure all content you supply is accurate and that you have the rights and permissions to use it.
4. Project Timelines & Feedback
Your project timeline depends on receiving the required information, content, feedback and approvals from you on time.
If the Required Documentation is not supplied within 20 calendar days of your deposit being received, the deposit is forfeited and the project may be closed.
Once your project is underway, our standard completion periods are:
- Graphic design projects: within 14 working days.
- Website projects, brand strategy and marketing projects: within 2 months.
These periods may differ where agreed in writing, or where delays are caused by circumstances outside Zoeke’s reasonable control, including delayed content, feedback, approvals or third-party services.
Please reply to proofs and questions within 5 working days. Any delay in your content, feedback or approvals moves the delivery date by the same amount of time.
5. Client Inactivity & Project Finalisation
We will send you reminders by WhatsApp or email if we are waiting on content, feedback or approval from you.
If Zoeke does not receive feedback, correspondence or required information from you for 20 consecutive calendar days by email or WhatsApp, the project may be considered finalised and complete. The final invoice will then be issued for the remaining balance.
If you want to resume a project that was closed because of inactivity, a reactivation fee may apply.
6. Revisions & Amendments
The number of revision rounds included in your project is stated in your package or Quote.
A revision round is one set of feedback from you, followed by the updates I make. Please send all your feedback for a round in a single message.
Additional revision rounds are charged at R250 per round.
Once artwork has been approved and the final files exported, no further amendments are accepted as part of the original project. You are responsible for carefully checking all content, including spelling, wording, names, numbers and contact details, before you approve.
If an exported file needs to be re-exported after approval because of an error, a R250 re-export fee applies. This fee does not apply if the error was made by Zoeke.
7. Fees & Pricing
The price for your project is the price in your accepted Quote, subject to any agreed changes or additional work.
Zoeke’s standard prices are reviewed every 6 months.
Third-party costs are not included unless the Quote states otherwise.
8. Deposits & Payment Structure
The payment structure for your project is stated in your Quote. The two standard structures are:
Option 1: Graphic design, brand design, stationery, marketing and smaller website projects
- A 50% non-refundable deposit is required before work begins.
- The remaining 50% is invoiced when you approve the final artwork.
Option 2: Larger website projects (Advanced, Premium and Online Shop packages)
- 30% upfront to start the project.
- 40% when the design phase is complete and the site structure is approved.
- 30% before final handover.
Your project does not start until the deposit (or first payment) has been received and reflects in Zoeke’s account.
The deposit secures your booking and covers the initial commitment of time and resources. It is non-refundable. If you do not supply the Required Documentation within the 20-calendar-day period in clause 4, the deposit is forfeited.
9. Payments & Invoices
All invoices are payable within 15 days of the invoice date.
Where a project is divided into milestones, each milestone is invoiced as set out in your Quote and is payable within 15 days of its invoice date.
Invoices are sent electronically to your nominated billing contact by email or WhatsApp.
If you believe an invoice contains an error, you must tell Zoeke in writing within 7 days of receiving it. Any undisputed part of the invoice remains payable on time.
10. Late Payments
Amounts not paid by the due date accrue interest at 1.5% per month, or the maximum allowed by law, from the due date until payment is received.
You are also responsible for reasonable collection costs, including legal fees, if Zoeke has to recover unpaid amounts.
11. Suspension for Non-Payment
If an invoice is more than 14 days overdue, Zoeke may suspend work on the project.
While work is suspended, Zoeke may withhold files, deliverables, handovers, licences and other project materials until all outstanding amounts are paid in full. Any delay caused by the suspension is not a delay caused by Zoeke.
12. Payment Methods
Payment is by EFT (preferred) or PayPal (for international clients). Banking details are on your invoice or Quote. Please send proof of payment by WhatsApp or email.
Cash deposits and eWallet transfers are not accepted.
13. Third-Party Costs
You are responsible for costs payable to third parties that arise from creating, producing or implementing your project. These may include:
- Stock photography, illustrations or other licensed assets
- Fonts and font licences
- Website domains
- Website hosting and plugins
- Printing and production
- Other third-party software, services or licences
Where possible, Zoeke will confirm additional costs with you before they are incurred.
14. Deliverables, File Formats & Release of Files
Final deliverables are supplied in the formats stated in your Quote. Depending on the project these may include AI, PSD, SVG, EPS, PNG, JPG, PDF, HTML/CSS or other agreed formats.
Source files are only included where your Quote states so and they have been paid for.
Before full payment, you receive proofs and previews only. Final files, licences and handover materials are released once all amounts due for the project have been paid in full.
Zoeke archives project files for up to 6 months after delivery. Please keep your own copy of your final files.
15. Ownership & Intellectual Property
When all amounts due for the project have been paid in full, ownership of and rights in the final design deliverables transfer to you as set out in your Quote or Contract.
Unless you decline in your Contract (Marketing Permission), Zoeke may use the final work and preliminary concepts for portfolio purposes, its website, social media and marketing, design competitions, design-related publications and educational purposes. Zoeke will credit you where appropriate and will never share your confidential business information.
If you need a full assignment of copyright or additional intellectual property rights, this must be agreed separately and may cost extra.
16. AI-Generated Content
Where your package includes AI-generated images, video or written content (for example website text, captions or blog posts), Zoeke uses AI tools to help create it. By accepting AI-generated content, you agree that:
- AI-generated content may contain errors, mistakes, inaccuracies, outdated information or unintended similarities to other material.
- You must review, check and approve all AI-generated content, including written content, before it is published or used.
- To the extent allowed by law, Zoeke takes no responsibility for errors, mistakes or inaccuracies in AI-generated content, or for any loss or claim arising from your use of it after you have approved it.
- Zoeke does not give legal, medical, financial or other professional advice through AI-generated content.
- Copyright protection for AI-generated material is uncertain and may be limited. Zoeke cannot guarantee that AI-generated content is exclusive to you, original, or can be registered as your intellectual property.
17. Confidentiality
Zoeke and the Client agree to keep confidential any confidential information received from the other in connection with the services. Neither party may share it with third parties, unless it is reasonably required to perform the services or the law requires it.
18. Personal Information
Zoeke uses personal information you supply only to deliver your project and keeps it secure. Zoeke does not sell personal information. More information is in our Privacy Policy at https://zoeke.co.za/privacy-policy/.
If you give Zoeke personal information about other people (for example staff photos or customer details), you confirm that you are allowed to share it.
19. Client-Supplied Materials
You confirm that you have the rights, permissions and licences to use all text, photographs, graphics, logos, trademarks and other materials you supply to Zoeke.
You remain responsible for any claims, disputes or liabilities arising from those materials. You indemnify Zoeke against claims arising from materials you supplied, where Zoeke used them as you instructed.
20. Termination
Either party may terminate a project for material breach by giving 14 days’ written notice and, where possible, an opportunity to fix the breach.
If a project is terminated, you remain responsible for payment for all work completed and approved up to the termination date, and any other amounts properly due. The non-refundable deposit remains non-refundable.
21. Liability
To the extent allowed by law, Zoeke’s liability arising from a project or these Terms & Conditions is limited to the fees actually paid to Zoeke for that project.
Zoeke is not responsible for claims arising from content, materials, instructions or information supplied by you.
22. Acceptance & Approval
When you approve a design, deliverable, concept or other project material, you confirm that you have reviewed it and are satisfied for Zoeke to proceed with the approved version.
After final artwork has been approved and exported, changes are subject to clause 6.
23. Agreement & Changes
These Terms & Conditions are read together with your Quote and, where applicable, your Creative Design Contract and the Website Project Terms.
If your Quote or a written agreement specifically differs from these Terms & Conditions on a particular matter, the Quote or written agreement applies to that matter. Retainer clients are also bound by the terms of their retainer proposal.
Any change to scope, pricing or project requirements must be confirmed in writing.
24. Governing Law
These Terms & Conditions are governed by the laws of Gauteng, South Africa. Any dispute is subject to the laws and jurisdiction of South Africa.

These Terms & Conditions apply to creative, design, website, branding, marketing and related services provided by Zoeke Design Studio (“Zoeke”, “we”, “us” or “the Designer”) to a client (“you” or “the Client”).
By accepting a quotation, proposal, invoice or commencing a project with Zoeke, you agree to be bound by these Terms & Conditions together with the specific scope of work, quotation or proposal provided for your project.
1. Scope of Work
Zoeke agrees to provide the creative and design services described in the applicable quotation or proposal.
The agreed scope of work defines what is included in your project. Any work, services, deliverables or changes outside the agreed scope may require a written change order and may incur additional fees.
We will communicate any additional costs with you before proceeding with out-of-scope work.
2. Project Requirements & Client Content
Before work can begin, you are responsible for providing all Required Documentation and information necessary to complete the project.
This may include copy, text, images, brand assets, references, specifications, login details or other materials relevant to the agreed scope.
All content that you provide for use in a project must be supplied electronically and in editable text format via WhatsApp or email, unless the content is being created by Zoeke as part of your package.
Screenshots or images containing text will not be accepted for retyping. If you only have content in screenshot or image format and require Zoeke to retype it, a typing fee of R450 per hour will apply.
You are responsible for ensuring that all client-supplied content is accurate and that you have the necessary rights and permissions to use that content.
3. Project Timelines
A project timeline depends on receiving the required information, content, feedback and approvals from you within the required timeframes.
If the Required Documentation is not supplied within 20 calendar days from the date your deposit is received, the deposit will be forfeited and the project may be closed.
Once a project is underway, our standard completion periods are:
> Graphic design projects: within 14 working days.
> Website projects, brand strategy and marketing projects: within 2 months.
These timelines may differ where otherwise agreed in writing, or where delays arise from circumstances outside Zoeke’s reasonable control, including delayed content, feedback, approvals or third-party services.
4. Revisions & Amendments
Your project includes 2–5 revisions, depending on the package or quotation agreed upon.
Revisions may apply to deliverables such as logos, graphic designs, 3D designs, videos and other digital design work.
Additional revisions beyond those included in your package will be charged at R250 per revision.
Once artwork has been approved and final files have been exported, further amendments will not be accepted as part of the original project.
The Client is responsible for carefully checking all content, including spelling, wording, names, numbers and other supplied information, before approving artwork.
If an exported file contains an error that requires re-exporting after approval, a R250 re-export fee will apply.
This fee does not apply where the error was made by Zoeke.
5. Client Inactivity & Project Finalisation
If Zoeke does not receive feedback, correspondence or required information from you for 20 consecutive calendar days via email or WhatsApp, the project may be considered finalised and complete.
The final invoice will then be issued for settlement.
If you wish to resume the project after it has been closed due to inactivity, a reactivation fee may apply.
6. Fees & Pricing
All fees and prices are subject to review every 6 months.
The applicable price for your project will be the price stated in your accepted quotation, proposal or invoice, subject to any agreed changes or additional work.
Third-party costs are not included unless expressly stated otherwise.

Option 1: Graphic Design, Brand Design & Small Website Projects

For larger website projects, payments are structured as follows:
> 30% upfront to initiate the project
> 40% upon completion of the design phase and approval of the site structure
> 30% prior to final handover
The project will not commence until the initial 30% payment has been received and reflects in Zoeke’s account.
The initial payment secures the project booking and covers the initial commitment of resources to the project. If the Client fails to provide the Required Documentation within the specified 20-calendar-day period, the initial payment will be forfeited.
8. Payments & Invoices
All invoices are payable within 14 days of the invoice date.
Where a project is divided into milestones, each milestone will be invoiced according to the agreed proposal or quotation and will be payable within 14 days of the applicable invoice date.
Invoices will be sent electronically to the Client’s nominated billing contact via email or WhatsApp.
If you believe an invoice contains an error or wish to dispute an amount, you must notify Zoeke in writing within 7 days of receiving the invoice.
Any undisputed portion of the invoice remains payable within the applicable payment period.
9. Late Payments
Amounts that remain unpaid after the applicable due date will accrue interest at 1.5% per month, or the maximum amount permitted by law, from the invoice due date until payment is received.
The Client will also be responsible for reasonable collection costs, including legal fees, where Zoeke is required to pursue unpaid amounts.
10. Suspension for Non-Payment
If an invoice remains more than 14 days overdue, Zoeke reserves the right to suspend work on the project.
During a payment suspension, Zoeke may also withhold files, deliverables, handovers, licences or other project materials until all outstanding amounts have been paid in full.
Any resulting delay to the project timeline will not be considered a delay caused by Zoeke.
11. Payment Methods
Accepted payment methods will be specified in the applicable proposal or invoice.
Cash deposits and eWallet transfers are not accepted.
Banking and payment details will be provided on your invoice or proposal.
12. Third-Party Costs
The Client is responsible for costs payable to third parties that arise from the creation, production or implementation of the project.
These may include, but are not limited to:
> Stock photography, illustrations or other licensed assets
> Fonts and font licences
> Website domains
> Website hosting or plugins
> Printing and production
> Other third-party software, services or licences
Where possible, Zoeke will confirm applicable additional costs with you before they are incurred.
13. Deliverables & File Formats
Final deliverables will be supplied in the formats agreed upon in the applicable quotation or proposal.
Depending on the project, these may include formats such as AI, PSD, SVG, PNG, JPG, HTML/CSS or other agreed formats.
Source files are only included where they are specifically stated as part of the agreed scope and have been paid for.
14. Ownership & Intellectual Property
Final designs, applicable licences and agreed handover materials will only be released following full payment of all amounts due for the project.
Upon receipt of full payment, ownership and rights in the final design deliverables will transfer to the Client as specified in the applicable agreement, quotation or proposal.
Zoeke retains the right to use final work and preliminary concepts for:
> Portfolio purposes
> Online portfolio and website publication
> Social media and marketing
> Design competitions
> Design-related publications
> Educational purposes
> Other promotional purposes
Unless otherwise agreed, this right applies to work created by Zoeke as part of the project.
If the Client requires a full assignment of copyright or additional intellectual property rights beyond the standard transfer of the final design deliverables, this must be agreed separately and may incur an additional fee.
15. Confidentiality
Both Zoeke and the Client agree to keep confidential and proprietary any confidential information received from the other party in connection with the provision of services.
Neither party should disclose confidential information to third parties except where reasonably required to perform the agreed services or where disclosure is required by law.
16. Client-Supplied Materials
The Client warrants that it has the necessary rights, permissions and licences to use any text, photographs, graphics, logos, trademarks, intellectual property or other materials supplied to Zoeke.
The Client remains responsible for any claims, disputes or liabilities arising from materials supplied by the Client.
The Client agrees to indemnify Zoeke against claims arising from the Client’s supplied content or materials where Zoeke has used those materials as instructed by the Client.
17. Termination
Either party may terminate a project for material breach by providing 14 days’ written notice and an opportunity to remedy the breach where applicable.
If a project is terminated, the Client remains responsible for payment for all work completed and approved up to the termination date, together with any other amounts properly due under the applicable agreement.
The non-refundable deposit remains non-refundable.
18. Liability
To the extent permitted by law, Zoeke’s liability arising from a project or these Terms & Conditions is limited to the fees actually paid to Zoeke under the applicable agreement.
Zoeke will not be responsible for claims arising from content, materials, instructions, intellectual property or other information supplied by the Client.
19. Acceptance & Approval
By approving a design, deliverable, concept or other project material, the Client confirms that they have reviewed the relevant content and are satisfied for Zoeke to proceed with the approved version.
The Client is responsible for checking all supplied content and information before approval.
Once final artwork has been approved and exported, amendments will be subject to the provisions relating to revisions and re-exports above.
20. Agreement & Changes
These Terms & Conditions should be read together with the specific quotation, proposal or scope of work applicable to your project.
Where a project-specific quotation or written agreement contains terms that specifically differ from these general Terms & Conditions, the project-specific written agreement will apply to that particular matter.
Any changes to the agreed scope, pricing or project requirements should be confirmed in writing.
21. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of Gauteng, South Africa.
Any disputes arising from the provision of services will be subject to the applicable laws and jurisdiction of South Africa.
